This Agreement is entered into on October 3, 2005 by waste Corporation of America, LLC, a Delaware limited liability company (hereinafter referred to as “Customer”) and WCA Waste Corporation, a Delaware Corporation (hereinafter referred to as “WCA”), for the disposal of Customer`s non-hazardous construction and demolition waste. For the purposes of this Agreement, references to “Customer” include any subsidiary of Customer that owns or operates a transfer station in the State of Florida and references to WCA include any WCA subsidiary that has a landfill in the State of Florida. CONSIDERING that Larkspur needs access to a solid waste landfill to serve its inhabitants; and whereas Westlock is prepared to supply Larkspur with such a site, and CIWM, in collaboration with Clarkslegal LLP, has developed this proposal for the waste management contract or contract.
